Master Property Manager Agreement

JaM STAYS LLC - MASTER PROPERTY MANAGER AGREEMENT

1. PARTIES
This agreement is entered into between JaM Stays LLC ("Company") and the Property Manager ("Property Manager").

2. SCOPE OF SERVICES
Company agrees to assist Property Manager in listing managed properties for mid-term rental placements (30-90+ day stays). Property Manager authorizes Company to market, show, and place qualified tenants in managed properties.

3. PROPERTY AUTHORIZATION
By submitting properties through the Company's portal, Property Manager grants Company authority to present properties to prospective tenants and placement partners. No separate signature is required for individual property submissions.

4. PLACEMENT FEES
Property Manager agrees to pay Company a placement fee of 8% of the total lease value (monthly rent × lease term in months) for each placement. This fee is paid in full at tenant move-in.

5. PROPERTY MANAGER RESPONSIBILITIES
Property Manager agrees to:
- Maintain managed properties in habitable condition
- Comply with all applicable laws and lease terms
- Report any issues or tenant concerns to Company promptly
- Not discriminate against tenants based on protected characteristics
- Confirm authorization from property owners to list with JaM Stays

6. COMPANY LIMITATIONS
Company acts as an intermediary. Company is not responsible for tenant behavior, property damage, or lease enforcement. Property Manager retains full responsibility for property management and legal compliance.

7. TERM & TERMINATION
This agreement is effective upon execution and continues until terminated by either party with 30 days written notice. Placement fees remain due for tenants placed before termination date.

8. CONFIDENTIALITY
Both parties agree to maintain confidentiality regarding terms, tenant information, and proprietary business practices.

9. LIABILITY LIMITATION
Company's liability is limited to fees paid in the 12 months preceding any claim. Neither party shall be liable for indirect, consequential, or punitive damages.

10. GOVERNING LAW
This agreement is governed by the laws of the State of Texas.
